Master Service Agreement

1. Agreement Overview
This Master Service Agreement ("Agreement") is entered into between Somatic Matrix Institute ("Provider," "we," "us," or "our") and the individual or organization ("Client," "you," or "your") engaging our training and certification services. By registering for or participating in any Somatic Matrix training program, you agree to be bound by the terms and conditions set forth in this Agreement.
2. Services Provided
Somatic Matrix Institute provides professional training in neurobiologically-grounded behavioral intervention methods for working with dysregulated adolescents. Our services include:
- 3-Day Intensive Certification Training Programs
- Certified Provider License and ongoing support
- Access to educational materials, protocols, and resources
- Continuing education and professional development opportunities
- Online podcast library and educational content
3. Professional Scope and Limitations
The Somatic Matrix methodology is a behavioral intervention training program designed to complement existing professional practice. Participants must:
- Operate within their existing professional scope of practice and licensure
- Maintain appropriate professional liability insurance
- Comply with all applicable federal, state, and local regulations
- Obtain necessary parental consent and institutional approvals before implementing protocols
Somatic Matrix training does not constitute medical advice, mental health treatment, or therapeutic intervention. It is an educational program for professionals who work with adolescents in various capacities.
4. Registration and Payment Terms
Training registration and payment terms will be provided upon inquiry. All fees are subject to change with notice. Cancellation and refund policies will be clearly communicated during the registration process.
5. Intellectual Property
All training materials, protocols, methodologies, and content provided by Somatic Matrix Institute are proprietary and protected by copyright and intellectual property laws. Certified providers receive a limited license to use these materials within their professional practice but may not:
- Reproduce or distribute materials without written permission
- Train others to deliver Somatic Matrix protocols without authorization
- Modify or create derivative works based on our proprietary methods
- Use our trademarks or branding without explicit permission
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the training relationship. Participants must protect the privacy of case studies, client information, and sensitive training content in accordance with applicable privacy laws and professional ethics standards.
7. Liability and Indemnification
Somatic Matrix Institute provides training and education but does not supervise or control how certified providers implement protocols in their professional settings. Each provider assumes full responsibility and liability for their professional practice. By participating in our training, you agree to:
- Indemnify and hold harmless Somatic Matrix Institute from claims arising from your professional practice
- Maintain appropriate professional liability insurance coverage
- Exercise independent professional judgment in all client interactions
- Comply with all applicable laws, regulations, and professional standards
DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMATIC MATRIX INSTITUTE PROVIDES TRAINING "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR PARTICIPATION IN TRAINING OR USE OF OUR METHODS.
8. Certification Standards
Certified Provider status requires:
- Successful completion of the 3-Day Intensive Training
- Demonstration of protocol competency
- Maintenance of active Certified Provider License (if applicable)
- Adherence to professional ethics and conduct standards
- Participation in continuing education requirements
Somatic Matrix Institute reserves the right to revoke certification for violations of professional standards, ethical misconduct, or misrepresentation of credentials.
9. Termination
Either party may terminate this Agreement with written notice. Upon termination, you must cease using Somatic Matrix branding, materials, and proprietary methods. Obligations regarding confidentiality, intellectual property, and indemnification survive termination.
10. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the United States. Any disputes arising from this Agreement will be resolved through good-faith negotiation or, if necessary, binding arbitration in accordance with the rules of the American Arbitration Association.
11. Modifications
Somatic Matrix Institute reserves the right to modify this Agreement at any time. Material changes will be communicated to certified providers. Continued participation in training programs or use of certification constitutes acceptance of modified terms.

13. Entire Agreement
This Master Service Agreement, together with our Privacy Policy and any program-specific terms, constitutes the entire agreement between the parties and supersedes all prior understandings, agreements, or representations.
By participating in Somatic Matrix training programs, you acknowledge that you have read, understood, and agree to be bound by this Master Service Agreement.
